These Terms and Conditions ("Terms") govern use of the services offered by Silvercrest Tech ("the Company"), incorporated and operating under the laws of the Republic of Panama, with its registered offices in Panama City. The Company's website is silvercresttech.com ("the Website").

By accessing the Website, submitting an inquiry, or engaging any service offered by Silvercrest Tech, you confirm that you have read, understood, and agree to be bound by these Terms, as well as applicable laws and regulations of the Republic of Panama and any other relevant jurisdiction. If you do not agree, you must cease using the Website and our services.

Our services are intended for institutional clients, corporate entities, professional investors, and high-net-worth individuals. By accessing our services, you represent and warrant that:

You are at least 18 years of age or the legal age of majority in your jurisdiction;

You are acting on behalf of a duly incorporated legal entity, or as a qualified individual investor;
—
You are not located in, or a national of, any jurisdiction subject to international sanctions where digital asset services are prohibited;
—
You have full legal authority and capacity to enter into binding agreements.

Silvercrest Tech provides the following services:

Institutional OTC Exchange Services: Facilitation of large-volume, off-market digital asset transactions between institutional counterparties. Terms governing each transaction are set out in a Master Trading Agreement (“MTA”) executed by both parties.

Crypto Payments as a Service: Technology infrastructure enabling businesses to accept, process, and settle digital asset payments. Terms are set out in a Service Level Agreement (“SLA”).
These Terms apply to general use of the Website and initial engagement. Binding commercial obligations are established through the relevant MTA or SLA.

Nothing on this Website or communicated by Silvercrest Tech constitutes financial, investment, legal, or tax advice. Silvercrest Tech acts as a service facilitator only. Clients are encouraged to seek independent professional advice before engaging in digital asset transactions.

Digital assets are volatile and involve significant risk of loss. By engaging our services, you acknowledge that:

The value of digital assets can fluctuate materially;

Past performance is not indicative of future results;
—
You may lose all or a significant portion of funds involved;
—
Digital asset markets are subject to technical failures, regulatory changes, and other risks outside our control;
—
Silvercrest Tech shall not be liable for losses arising from market movements or disruptions beyond our reasonable control.

In compliance with the laws of the Republic of Panama, including Law 23 of 2015 on the Prevention of Money Laundering, Financing of Terrorism, and Financing of the Proliferation of Weapons of Mass Destruction, and the regulations of the Financial Analysis Unit of Panama (UAF), all clients are required to complete KYC/AML verification before accessing any services. Silvercrest Tech reserves the right to refuse, suspend, or terminate service to any client who fails compliance requirements or is suspected of engaging in illicit activity.

All content on the Website is the exclusive property of Silvercrest Tech or its licensors and is protected under Panamanian intellectual property laws and applicable international conventions. No content may be reproduced or commercially exploited without prior written consent.

To the maximum extent permitted by Panamanian law, Silvercrest Tech and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from use of the Website or our services. Our aggregate liability shall not exceed the fees paid by the client in the three months preceding the claim.

Both parties agree to maintain confidentiality of all non-public information exchanged in connection with the services. Silvercrest Tech will not disclose client information to third parties except as required by applicable law, regulatory order, or court order, or as strictly necessary to provide agreed services.

These Terms are governed by the laws of the Republic of Panama. Disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of Panama City, unless otherwise agreed in writing by both parties.

Silvercrest Tech reserves the right to modify these Terms at any time. Changes will be published on the Website and take effect upon posting. Continued use following changes constitutes acceptance of the revised Terms.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
